Ms. Mandanas represents lenders, borrowers, landlords, tenants, developers, sellers and buyers throughout the country in connection with all aspects of real estate and business transactions. Ms. Mandanas has extensive experience in representing landlords and tenants in numerous leasing transactions and lenders, borrowers and real estate private equity sources in connection with complex commercial secured and unsecured loans and capital markets transactions and modifications thereof.
Representative transactions include:
Office Tower Construction and Mezzanine Financing. Representation of the borrower in connection with construction and mezzanine financing of a 1.5 million square foot multi-tenant office building in Chicago.
Secured Line of Credit for REIT. Representation of the lead bank in connection with a secured line of credit for a newly-formed REIT’s acquisition of multi-state properties and modification and restructuring of such line of credit.
Construction and Bridge Loans. Represented the lender in connection with construction and bridge loans for the re-development of a hotel and theater property involving multiple sources of equity, including historic tax credits and tax increment financing, and in connection with construction loans for new and renovated shopping centers.
Foreclosure and Work-Outs. Represented lenders in connection with foreclosures (judicial and non-judicial) and work-outs, including deed-in-lieu transactions.
Joint Venture. Representation of various joint venture partners in connection with structuring their respective joint venture and acquisition agreements, including in connection with a residential and commercial development in Washington State, an 800-unit apartment complex in Chicago and a resort development in the Bahamas and an agricultural subdivision in Hawaii.
Joint Venture Buyout. Represented a joint venture partner in connection with matter related to a defaulting partner, including the ultimate purchase of the defaulting partners’ interest.
Corporate Representation. Represented corporate clients, including Fortune 500 companies, in connection with leasing, financing, real estate development, ground leases and asset and stock sales and purchases.
Multi-State Acquisition for National Retailer. Represented a national retailer in connection with the acquisition of 54 stores in multiple states (included ground leased and fee properties.)
Headquarters Disposition. Represented a Fortune 500 company in connection with the sale of its corporate headquarters, including leaseback of the facility and subdivision of a portion for continued ownership by client.
Pension Fund Acquisition. Represented a pension fund in connection with the acquisition and financing of a 900,000-square foot office tower in Chicago.
Management Agreements. Represented clients in connection with asset, spa and restaurant management agreements.
Construction and Architect’s Agreements. Represented owner in connection with construction management agreement and architect’s agreement for a resort development in Puerto Los Cabos, Mexico.
